These Terms of Service ("Terms") explain how you can use Fiive and what you can expect from us. By creating an account or using Fiive in any way, you agree to these Terms. If you don't agree, please don't use the platform.
What is covered
Fiive is a client and agency management platform that helps agencies and their clients manage relationships, projects, tasks, requests, and related collaboration (the "Service").
These Terms are a contract between Fiive ("we", "us") and the person or organisation that signs up to use the Service (the "Customer"). People invited into that account (for example team members, agencies, and clients) are "Users".
Fiive is a business tool. It should be used for business and professional purposes, not personal consumer use.
Accounts and eligibility
You must be at least 18 years old to use the Service.
If you sign up on behalf of a company, agency, or client, you confirm you are authorised to do that and to bind that organisation to these Terms. The Customer is responsible for:
- the information provided when creating the account,
- inviting and removing Users,
- setting roles and permissions, and
- everything that happens under its account.
You must keep your login details secure. If you believe your account has been accessed without permission, change your password and contact us at support@fiive.co.
Plans, subscriptions, and billing
Fiive is offered on different plans (for example, free, paid, early-access, or agency plans). The current plan details, limits, and prices are shown in the app or on our website and may change over time.
- Billing: Paid plans are billed in advance (for example, monthly or annually, depending on what you choose).
- Renewals: Subscriptions renew automatically unless you cancel before the renewal date.
- Changes to plan: If you upgrade or downgrade your plan, your price, limits, and available features may change. Downgrading can result in loss of access to certain features or data.
- Payments: Payments are processed by our payment providers (such as Stripe). You authorise us and our payment providers to charge your selected payment method for all applicable fees.
- Taxes: Prices may be shown exclusive of VAT or other taxes. Where required by law, these will be added at checkout.
Unless we say otherwise in writing or the law requires it, all fees are non-refundable. During early access we may, at our discretion, offer refunds case-by-case if something has clearly gone wrong on our side.
Acceptable use
We want Fiive to be safe and reliable for everyone using it. You agree that you and your Users will not:
- use the Service in a way that breaks any law or regulation;
- attempt to gain unauthorised access to the Service or related systems;
- interfere with or disrupt the normal operation of the Service;
- copy or reverse engineer the Service, except where this cannot be restricted by law;
- upload or share anything illegal, harmful, or abusive (including malware, hate speech, or content that violates someone else's rights);
- use Fiive to send spam or unsolicited messages;
- misrepresent who you are or who you work for.
If we reasonably believe these rules are being broken, we may suspend or terminate access to protect the platform and other users (see section 10).
Your data and privacy
You (the Customer) own the data you put into Fiive, including client and agency information, projects, tasks, requests, and other content ("Customer Data"). We don't claim ownership of it.
You give us permission to use Customer Data only as needed to:
- provide, maintain, and improve the Service;
- keep the platform secure;
- comply with legal obligations.
We may also use aggregated or anonymised data to understand usage and improve Fiive, but this will not identify you or your clients personally.
When we process personal data on your behalf (for example, your team's and clients' details), we act as a data processor and you act as the data controller under applicable data protection laws. More detail on how we handle personal data is set out in our Privacy Policy, which is part of these Terms. By using Fiive, you also agree to that Privacy Policy.
Third-party services
Fiive uses third-party providers to run the platform (for example, hosting, databases, email, and payments). These may include services like Supabase, Vercel, Stripe, and others. Fiive may also allow you to connect or link your account with other tools. Your use of any third-party tools is governed by their own terms and privacy policies, not ours. We're not responsible for third-party services and won't be liable for any issues, loss, or damage they cause.
Intellectual property
We own Fiive itself, the software, design, branding, and everything that makes the platform work, except for Customer Data and anything clearly owned by someone else. We grant the Customer a limited, non-exclusive, non-transferable right for its Users to use the Service for its internal business purposes while its subscription is active and it complies with these Terms. You must not:
- copy significant parts of Fiive to build a competing service;
- remove or hide any proprietary notices or branding;
- use our name or logo in a way that suggests you're Fiive or officially endorsed, unless we've agreed in writing.
Warranties and disclaimers
We work to keep Fiive reliable and secure, but we can't promise it will be:
- free from errors or bugs;
- available 100% of the time;
- a perfect fit for every use case.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties and conditions, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms is intended to exclude any rights you have that cannot legally be excluded.
Limitation of liability
To the fullest extent permitted by law:
- We are not liable for any indirect, consequential, or special loss, or for loss of profits, revenue, business, or data arising out of or in connection with your use of the Service.
- Our total liability for all claims in connection with the Service and these Terms is limited to the amount you have paid to us for the Service in the 12 months before the event giving rise to the claim, or €119, whichever is greater.
We do not limit or exclude liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or anything else that cannot be limited under the laws that apply.
Indemnity
As the Customer, you are responsible for how you and your Users use Fiive. You agree to indemnify and hold harmless Fiive from any third-party claim, loss, or damage (including reasonable legal fees) arising out of:
- your use of the Service in a way that breaches these Terms or the law;
- any Customer Data you add to the Service (for example, where you did not have the right to use or share it);
- any dispute between you and your clients, agencies, or other third parties relating to your use of Fiive.
If we receive a claim covered by this section, we will let you know and give you reasonable information and cooperation so you can handle the response.
Suspension and termination
You can cancel your paid subscription at any time via your account settings or by contacting us at support@fiive.co. Your access will continue until the end of your current billing period. We do not provide refunds for unused time unless required by law. We may suspend or terminate your access to the Service (in whole or in part) if:
- you fail to pay fees when due;
- we reasonably believe there is fraud, misuse, or a serious breach of these Terms;
- we are required to do so by law or by a court or regulator.
After termination, we may keep Customer Data for a reasonable period for backup, audit, and legal purposes, and then delete it in line with our data retention practices and Privacy Policy.
Changes to these Terms
We may update or change the Service from time to time, for example to improve performance, add features, or fix issues. We may also update these Terms. If we make a material change, we'll let you know (for example by email or in-app notification) before the new Terms take effect. If you keep using Fiive after the updated Terms start, you're agreeing to them.
Governing law and legal information
These Terms and any dispute or claim related to them or to the Service are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of Fiive, except that we may seek urgent injunctive or similar relief in any appropriate jurisdiction.
For legal purposes, "Fiive" in these Terms means Fiive Ltd, a company registered in England and Wales. You can contact us at support@fiive.co.
Other important terms
- Entire agreement: These Terms, together with our Privacy Policy and any plan or order you accept, make up the entire agreement between you and Fiive about your use of the Service.
- No waiver: If we don't enforce a right immediately, that doesn't mean we've waived it.
- Severability: If any part of these Terms is found to be invalid or unenforceable, the rest will stay in effect.
- Assignment: You can't transfer your rights or obligations under these Terms to someone else without our permission. We may transfer our rights and obligations (for example, in a merger or acquisition).
